Terms and Conditions of Use for Picaio
Welcome and thank you for your interest in Picaio.
The present Terms and Conditions of Use (the “Terms”) constitute a legal and binding agreement between Wierdneutrino, S.A. de C.V., with address at Av. Prolongación Paseo de la Reforma 625, Floor 5, Office 503, Álvaro Obregón, Mexico City, C.P. 01330 (hereinafter, “Picaio” or the “Responsible Party”), and the individual or legal entity accessing, browsing, or using the Site or the Product (the “User” or “Client”).
Access or use of the Site or the Product implies express acceptance of these Terms. If you do not agree, you must refrain from using them.
1. Scope
These Terms apply to:
  • The Picaio website and its informational pages (the “Site”).
  • The Picaio technological platform, including applications, modules, functionalities, APIs, integrations, reports, and related services (the “Product” or the “Services”).
  • Any communication, support, demonstration, or associated service.
The Site and the Product are intended exclusively for business or professional use.
2. Related Documents
The following documents (the “Policies”) form an integral part of these Terms by reference:
  • Privacy Notice
  • Security Policy
  • Acceptable Use Policy (if applicable)
  • Any contract, service order, or commercial agreement signed between Picaio and the Customer
In case of conflict, the contract signed between the parties shall prevail.
3. Eligibility and Permitted Use
Access to the Product may require the creation of an account.
The User is responsible for:
  • Maintaining the confidentiality of their credentials.
  • All activities conducted from their account.
  • Immediately notifying any unauthorized use.
Picaio will not be responsible for unauthorized accesses resulting from poor credential management by the User.
5. Information and Data
5.1 Website
Through the Site, Picaio only collects data when the User fills out contact forms, in accordance with the Privacy Notice.
5.2 Product
The Picaio Product is designed to operate primarily with business, accounting, and fiscal information provided by the clients.
Except for the user's corporate email, Picaio does not process personal data within the Product.
In the event that clients upload information that may contain personal data, those clients will be responsible for having the corresponding legal basis in accordance with applicable legislation.
Picaio:
  • Does not make automated decisions or profiling processes based on personal data.
  • Does not use personal data for training artificial intelligence models.
6. Customer Content
The Client is solely responsible for the content, information, and data that they upload or process through the Product (“Client Content”).
The Client guarantees that:
  • They have the right to use such information.
  • Their use does not violate laws, third-party rights, or these Terms.
Picaio may use the Client Content solely to provide the Services, in accordance with these Terms and the Privacy Notice.
7. Intellectual Property
All intellectual property rights of the Site and the Product belong to Picaio or its licensors.
The use of the Product grants a limited, non-exclusive, non-transferable, and revocable license, exclusively for the Client's internal business purposes.
The following is prohibited:
  • Copying, modifying, decompiling, or exploiting the Product without authorization.
  • Using Picaio's trademarks, logos, or content without prior written permission.
8. Shared Responsibility Model
The use of the Product is governed by a shared responsibility model:
  • Picaio is responsible for the security of the infrastructure, platform, and services it provides.
  • The Client is responsible for the proper management of accesses, credentials, and the information uploaded to the system.
9. Security
Picaio implements technical measures and organizational measures aligned with industry best practices.
However, the User acknowledges that no system can guarantee absolute security against all threats.

10. Availability and Modifications
Picaio may modify, update, or discontinue the Site or Product, temporarily or permanently, making an effort to notify relevant changes when reasonable.
11. Limitation of Liability
To the fullest extent permitted by law, Picaio will not be liable for:
  • Indirect, incidental, or consequential damages.
  • Loss of data, revenue, or business interruptions.
  • Improper use of the Product by the Customer.
The Product is provided “as is”, without implied warranties.
12. Validity and Termination
The User may stop using the Site or the Product at any time.
Picaio may suspend or terminate access in the event of a breach of these Terms.
13. Changes to the Terms
Picaio may modify these Terms. The updated versions will be published on the Site and will become effective upon publication.
14. Applicable Law and Jurisdiction
These Terms are governed by the laws of the United Mexican States.
The parties submit to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction.
